Roger O’ Shea the principal of Merc Consulting has been working in the Security industry since 1984 across the Distribution, Monitoring and Installation sectors. He has been running his own Consultancy business since 2011.

In early 2023 Jason McElwaine the MD of McElwaine Security, unfortunately suffered a serious Illness which left him unable to run the business on a day-to-day basis. The Company needed the assistance of a senior manager to step in and assist the management team and they called on the services of Merc Consulting.

The Consultancy Process
Merc initially carried out a review of the business processes and staff allocation and suitability.
They highlighted the areas of concern and agreed a detailed plan to effect change over an agreed period.
Then they do what’s unique to Merc Con, they began working IN the business not on it, as most consultancy businesses do.
Initially they worked full time in the business for two days a week which reduced to one day once they made progress in the change process.
A new Managing Director was appointed and Roger worked with them to assist in their transition into the role.
Major changes were made in the business including
Setting up weekly reporting structure.
Reorganising the sales team and reporting of activity.
Appointing a middle management team and mentoring their progress.
Assistance with Hiring of new staff and dealing with non-performing staff.
Finally working with the management team to lay out a 3- year strategy for the business.
The Brokerage Process
Once the business was stabilised the McElwaine family who were the majority owners of the business, decided that due to Jason’s long term health issues that it would be wise to sell the business.

As Roger was already on board with the business, the family felt that Merc Consulting were perfect partner to take on the sale project.
They began the sales process as follows
Prepared an Information Memorandum on the business.
Engaged with prospective buyers already on their books.
Engaged with other interested suitable parties in the market.
They shortlisted 6 companies and then reduced this to three
Finally, they achieved satisfactory Heads of terms from our preferred Purchaser.
They then were instrumental in managing the sale process through to final signing of the Share Purchase agreement.
They coordinated the process between both sides legal and financial advisors to achieve a signed deal within a total 6-month period.
